Magic Software entered into a joint venture with its distributor in Japan, Wacom.
Magic Software Japan ("MSJ"), a company that is owned 80% by Magic and 20% by Wacom, will buy
from Wacom all the rights relating to the Japanese version of Magic products. MSJ paid in 1998 $ 750
to Wacom and will pay an additional amount of $ 1,250 in 1999. Wacom will also be entitled to
royalty payments in fixed quarterly payments totaling $ 1,000 over a four-year period. -
